Startup Analysis Boardroom (SABR) Membership Agreement

SABR services intend to help members efficiently gain insights into startups from diverse sectors, empowering members to manage risks and make informed decisions.

1.0 Services

SABR offers subscription-based educational services for members to learn about early ventures and startups that are trying to grow and expand. Services include published analysis reports, live video conferencing, email communications, and future services under this Membership Agreement. Registered users who pay for Services are “Members”. This Membership Agreement applies to Members only. There are 3 levels of membership services. See Service Plans.

 

2.0 Members

 

Once you pay for SABR Services during the subscription period you choose, you become a Member during your chosen period. After you become a member, regardless of your membership level (Silver, Gold, Platinum), you agree to comply with all the terms and conditions listed in this Membership Agreement.  You may choose to cancel your membership at any time, refer to the Cancellation Policy section below.

 

2.1 Member Eligibility

 

SABR Services are not for use by anyone under “Minimum Age.” “Minimum Age” means 21 years old. However, if law requires that you must be older in order for SABR to lawfully provide the Services to you without parental consent.

 

To use the Services, you agree that: (1) you must be 21 years or older; (2) you must register with your real name (no entity name allowed); and (3) you are not already restricted by SABR from using the Services. Creating an account with false information is a violation of our terms, including accounts registered on behalf of others or persons under the age of 21.

 

SABR Services are currently available to residents in the US and Canada who have valid identification cards and payment methods that are accepted by Stripe, PayPal, etc. We may expand our services to other countries to accept other forms of payments in the future.

 

3.0 Subscription Payment and Fees

 

If you purchase any of our membership Services, you can choose either monthly or annual subscription. As a member, you understand that either payment plan is automatically renewed unless you request to cancel via email. You agree to pay applicable fees associated with Services shown in the online checkout cart or invoice via email. Payment includes SABR subscription fee and payment processing fee (up to 3%) charged by 3rd parties (e.g. PayPal, Stripe, etc.) Failure to pay recurring subscription fees is the same as cancelling your membership and your access to SABR services will be immediately terminated.

Also, you agree that your purchase may be subject to foreign exchange fees or differences in prices based on location (e.g. exchange rates).

 

When you purchase a subscription plan, payment will be automatically charged at the start of each new subscription period, including fees applicable. To avoid future charges, cancel before the renewal date.

 

4.0 Change Subscription Plan

 

If you are currently a Silver or Gold member and requesting to upgrade to higher levels of membership half way through the current month, your membership upgrade will commence on the 1st of the following month.

Similarly, if you are currently a Diamond member and requesting to downgrade to Gold membership half way through the current month, your membership downgrade will commence on the 1st of the following month.

 

5.0 Cancellation and Refund Policy

 

If for any reason you want to cancel a subscription you have with us, we will terminate recurring payments and/or issue refunds in the following manner:

  • Monthly subscriptions – no cancellation / refund applicable to the current subscription period; however, you can terminate recurring monthly payment prior to the 1st day of the following month.

 

For example: If a monthly subscription cancellation request is made on March 7th, you will continue to receive the same services through March 31st, and there is no partial or full refund of March monthly subscription fee you paid. You will not be billed and will stop receiving services after March 31.

  • Annual subscriptions – if cancelling before the current annual subscription expires, then regular monthly subscription rates, proration of unused months and transaction fees charged by PayPal, Stripe and other payment processing entities (but not more than 3%) will be used to determine the amount for applicable refund.

 

For example: If you signed up for an annual subscription plan on November 15, 2019, you choose to cancel on August 20, 2020. The amount of refund will be calculated as below:

 

If annual payment is $159 and you have used SABR Services for 9 months, $159 - $19.99 (regular monthly fee) * 9 months = -$20.91, no refund.

If annual payment is $159 and you have used SABR Services for 6 months, $159 - $19.99 (regular monthly fee) * 6 months - $159*2.9% (transaction fee charged by 3rd party) =$34.45 will be refunded.

 

5.1 Cancellation Processing Time

 

Please allow 10 business days for us to process cancellation requests. Depending on your payment methods, some may take longer than others to be reflected on your credit card statement.

 

6.0 Communications Policy

 

You agree that email is the only valid communication channel for making requests and receiving notifications. All requests must be submitted via email. Members need to provide your full name, email address, and subscription plan type. No paper statements will be sent to your physical address. Subscription and cancellation confirmations are all sent using email addresses provided by members. Be sure to use the correct email address or update your email address if needed.

Email communications from SABR are strictly related to SABR services. Users may opt out of receiving emails from SABR; however, members may lose the ability to gain access to latest analysis reports distributed to members via email.

 

7.0 No Sharing of Membership

 

Members are NOT allowed to share their membership privileges with each other or non-members, including but not limited to sharing access to published analysis reports, recording of live meetings and distribution of SABR contents, during and after membership periods.

 

You agree that by becoming a member of SABR, you are entering into a legally binding contract with SABR. If you do not agree with the terms in this Membership Agreement, do not join or use any of services. If you wish to terminate your membership, you can do so at any time by emailing SABR a cancellation request and stating that you no longer wish to access or use SABR Services as stated in the “Cancellation Policy”.

If you violate any of the terms and conditions in this agreement, SABR has the right to terminate your membership at any time.

 

8.0 Privacy

 

SABR does not share member’s information with any third party and SABR does not store any payment information members submitted to Stripe, PayPal or other 3rd party payment processing entities.  Members are responsible for safeguarding their personal information and SABR contents that are exclusively for members to use.

 

9.0 Waiver of Liability and Indemnity Agreement

 

Members understand that SABR offers an education service and should not be treated as investment Advice

SABR contents and services are for educational purposes only, users should not construe any such information or other material as legal, tax, investment, financial, or other advice. Nothing contained in our publications constitutes a solicitation, recommendation, endorsement, or offer by us or any third-party service provider to buy or sell any securities or other financial instruments. In exchange for using our services, you agree not to hold SABR, its affiliates for any possible claim for damages arising from any decision you make based on information or other content made available to you through our services.

First time users and members acknowledge that SABR makes no recommendation on which startup to invest. All users of SABR website, contents and services agree to indemnify and hold harmless all parties from any liability, actions, causes of actions, losses.

 

10. Governing Law and Arbitration

The laws of the State of California (excluding any principles of conflicts of laws) govern your use of the Site, the services and these Terms. You agree that the parties shall settle any claim or dispute relating to these Terms by binding arbitration in Santa Clara County, California under the Commercial Arbitration Rules of the American Arbitration Association. To the fullest extent permitted by applicable law, no arbitration under these Terms shall be joined to an arbitration involving any other party subject to these Terms, whether through class arbitration proceedings or otherwise. Notwithstanding the dispute resolution requirements set forth above, for any injunctive relief relating to the access to, or use of, the Site including, without limitation, related services, you agree and hereby submit to the exclusive jurisdiction and venue of the appropriate state or federal courts located in Santa Clara County, California U.S.A.

11. Terms and Conditions are Subject to Change

Terms of Use are incorporated into this Membership Agreement. SABR may update Member Agreement, Privacy Policy and Subscription Plans & Pricing at any time. If we make material changes, SABR will notify members via email. You agree that changes cannot be retroactive.  

12. Complete Agreement

This Agreement sets forth the entire understanding of SABR Membership and supersedes all prior understandings relating hereto, unless otherwise stated in this Agreement.
